College Council

 

1. Purpose 

Maldives Business School will be governed by the College Council. All decisions relating to the functions of the College are to be made by or under the authority of the College Council. The Council’s function includes but not limited to: 

  1. Approving the college’s mission and vision
  2. Approving policies, procedures, processes, strategic plans and action plan for the governance and administration of the College in order to achieve its mission and vision
  3. Managing the College’s financial resources efficiently and effectively
  4. Overseeing the performance of the College
  5. Making and amending the College’s by-laws as required
  6. Forming the following committees:
  7. Senate
  8. Student Grievance Committee
2. Collective Responsibility of the Council

It is the collective duty of the Council to formulate and maintain educational policy to ensure that the College’s mission and strategic objectives are met. It must adopt rules and regulations appropriate for their implementation. 

3. Composition

The College Council is composed of: 

  1. College President as Chairperson
  2. Six members of staff, of whom one is selected as Secretary
  3. One student member
  4. One independent member

The College President is the only ex-officio member of the College Council and is appointed by the Board of Directors. The College President will designate a person who will assume his role in Council meetings in their absence.

5. Chair

The College President is the Chairperson of the College Council. 

6.  Meeting Schedule

The College Council will hold a meeting at least once every three months or as and when required. 

7. Attendance

Meetings are restricted to the members of the College Council.

8. Duties of Councilors

Councilors must: 

  1. Act in the best interests of the College and do so honestly and diligently
  2. Not act in any manner that will jeopardize the sustainability of the college’s operations
  3. Disclose and avoid any interest, monetary or otherwise, that are in conflict with the proper exercise of their duties and responsibilities in the Council
9. Duties of the Chairperson

The duties of the Chairperson are to: 

  1. Preside over the meetings of the Council
  2. Convene at least one meeting of the College Council every three months
  3. Bring forward issues of governance when appropriate
  4. Appoint faculty to committees
10. Duties of the Secretary

The Secretary should: 

  1. Oversee the minutes of all Council meetings by checking with the person designated to take the minutes
  2. Distribute a copy of the Constitution of the College to new members of the Council
  3. Notify each member of the Council at least one week in advance of the date of a regular or special meeting
  4. Perform such other duties as may be designated by the Council
11. Meetings
  1. The Council should hold at least one meeting every three months. The Chairperson
  2. should determine the time of the meetings. 
  3. The Chairperson may call special meetings. Special meetings may be called upon by the petition of all members of the Council to the Chairperson.
  4. Except in case of emergency, the Secretary should notify each member one week in advance of the date, venue and agenda of a regular or special meeting.
  5. Voting in all Council meetings shall be by voice or standing vote or by secret ballot. Only results of the voting shall be announced and recorded in the minutes unless two- thirds of the Council present demonstrates by standing vote that the actual count of votes shall be recorded.
  6. The quorum of the meetings is four members.
  7. Any member of the Council may suggest an item on the agenda by sending it to the Chairperson at least six days prior to a regular meeting and if it pertains to the administration of the College.
12. Veto 

As the representative of the owners of the College, the College President has the power of veto over all decisions of the Council.
